Before you start
This tool is not legal advice. It builds a general, jurisdiction-neutral services agreement from your answers. It hasn’t been reviewed by a lawyer for your situation, and contract law differs between countries and states. Have a qualified lawyer review the agreement before you use it.
The tool runs entirely in your browser. Nothing you type is sent to Angelwood or saved on a server.
How to use the contract maker
- Add both parties and the date the agreement starts.
- Describe the services and deliverables as specifically as you can.
- Set the fee type, amount, deposit and payment terms.
- Choose how intellectual property works, and whether to include confidentiality, expenses and portfolio use.
- Set the notice period and liability cap, and the governing law if you know it.
- Edit the text directly, then print to PDF or download it, and send it to your lawyer.
What the agreement covers
| Clause | What it sets out |
|---|---|
| Services and deliverables | What you’ll do and hand over, with a review step |
| Fees and payment | Fixed, hourly or retainer fees, deposit and payment terms |
| Intellectual property | Who owns the work, and when |
| Confidentiality | Keeping each other’s information private |
| Term and termination | How either side can end the agreement |
| Liability | A cap on each side’s liability |
For a detailed scope, pair it with the statement of work template. For ongoing work, see the retainer agreement template.
DO IT IN ANGELWOOD
Send agreements clients can sign.
Angelwood sends proposals and agreements that clients sign in their portal, and keeps the signed version with the engagement.
Is a contract from this tool legally binding?
We can’t say. Whether an agreement is enforceable depends on its terms, how it’s signed and the law where you and your client are. Have a lawyer review it before you rely on it.
Can I edit the contract?
Yes. Edit the text directly before you print or download it. Changing the form rebuilds the text unless you’ve edited it.
Which governing law should I choose?
Usually where your business is based, but it depends on your situation. Leave it blank if you’re unsure and ask your lawyer.
